With the sudden growth in the business, many Limited Liability Partnerships are now getting converted into Private Limited Company. According to the provisions laid down in Section 366 of the Companies Act, 2013 and Company Rules, 2014.

Having said that there are many formalities that need to be satisfied for converting an LLP into a Private Limited Company. This article mainly focusses on all the incorporation process that needs to undertake which includes:

• Approval of name

• Securing DSC and DIN

• Filing form no. URC – 1

• Memorandum of Association & Articles of Association

Approval of name

The approved name should be obtained from the ROC by applying e-format. Post application to apply for this you need to items that are mentioned in the form INC-1. The name once accepted by the authority will be valid for 60 days.

Securing DSC and DIN
 

All the 7 members who will be directors post-incorporation should apply for Digital Signature Certificate (DSC) and Director Identification Number (DIN).

Filing form no. URC – 1
 

After completing the above-mentioned steps, the applicant must now file form no. URC-1 along with the documents.

Memorandum of Association & Articles of Association

Post formulation of the Memorandum of Association (MoA) & Articles of Association (AOA) ROC should be filed, after getting the name approval and sanction of form no. URC-1 – from the registrar.
